HSA Advocates acted as legal advisors to the Government of Goa, on the structuring, documentation and bid process management for the new greenfield international airport at Goa


HSA Advocates (“HSA”) acted as the legal advisors to the Government of Goa (the “Authority”) on the structuring, documentation and bid process management, for the development, operation and maintenance of the greenfield international airport at Mopa, North Goa, through a Public Private Partnership (PPP) on DBFOT basis.


GMR Airports Limited won the bid, conducted on 27 August, 2016, to develop the greenfield airport, by offering the highest revenue share of 36.99% to the Authority. The two other bidders-Airports Authority of India and Essel Infraprojects Limited (with Incheon International Airport Corporation, as consortium partner) had quoted 32.31% and 27.1% as the revenue share respectively. This is the first major greenfield airport project to be developed on PPP after Hyde rabad International Airport and Bangalore International Airport.


HSA assisted in structuring the PPP,advising the Authority on the legal framework on greenfield airports, preparing the bid documents, responding to queries from bidders, and evaluation of the bids at the RFQ and RFP stages. The structuring was particularly challenging as this project is being developed under the hybrid till model with a competing airport,being the currently operating Goa international airport, which is expected to continue operations even after the development of the new greenfield airport in Mopa.


The project is proposed to be developed in four phases and the indicative capital cost is Rs. 4,500 rores. In the first phase the airport will handle 4.4 million passengers annually. The developer’s scope of work will broadly include the design, finance, construction, development, operation and maintenance of the air-side, terminal, land-side infrastructure (car parking, retail area and other such activities) and city-side development for the project. The developer will also establish Aviation Skill Development Centre to train youth and provide employment opportunities to the local residents.

The other consulting firms advising the Authority were KPMG, as financial advisers, and Louis Berger, as technical consultants.
